Terms of Use

These Terms govern your access to and use of FounderHQ, a unified growth stack operated by Astrophage Labs.

1. Agreement to These Terms

FounderHQ is operated by Astrophage Labs, based in Uttarakhand, India ("FounderHQ," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of FounderHQ's websites, web application, product modules, AI-assisted workflows, integrations, browser extension features, companion app features, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, client, or other entity, you represent that you have authority to bind that organization or client to these Terms.

2. The FounderHQ Service

FounderHQ is a business and professional productivity service for founders, product teams, creators, agencies, and organizations. It is designed as a unified growth stack that may include tools for journeys, content, publishing, messaging, research, market workflows, legal and launch workflows, analytics, brand context, AI assistance, automation, integrations, and related modules.

Some features may be beta, preview, experimental, waitlisted, or released gradually. We may add, change, suspend, or remove features as the Service evolves.

3. Eligibility and Regional Access

  • You must be at least 18 years old and able to enter a binding agreement to use the Service.
  • You may use the Service globally, except where use is prohibited by sanctions, export controls, platform rules, or applicable law.
  • You are responsible for complying with laws that apply to you, your organization, your customers, your audiences, your content, and your connected services.

4. Accounts, Organizations, and Clients

You are responsible for your account, login credentials, organization settings, members, roles, invitations, and activity under your account or organization. You must provide accurate account information and keep it current.

FounderHQ supports organizations and client contexts. You may manage multiple organizations, brands, products, or client brands if you have the rights and authority to do so and if your plan or product settings permit it. Organization owners and admins are responsible for managing access and for actions taken by members they authorize.

5. Customer Content

"Customer Content" means content, files, data, prompts, instructions, brand context, audience data, contacts, messages, artifacts, uploads, imports, outputs, and other materials that you or your users submit to or generate through the Service.

You retain your rights in Customer Content. You grant FounderHQ the rights needed to host, store, copy, process, transmit, display, generate, modify, analyze, and otherwise use Customer Content to provide, secure, support, debug, evaluate, and improve the Service and to follow your instructions.

You represent that you have the necessary rights, permissions, consents, notices, and lawful basis for Customer Content, including any sensitive, confidential, regulated, third-party, client, audience, or contact data you submit.

6. AI Features and Outputs

FounderHQ includes AI-assisted features. Inputs and selected context may be sent to AI providers, model providers, tool services, and infrastructure providers that FounderHQ manages or that you configure, including bring-your-own-key providers.

You may use AI-generated outputs for lawful business purposes, subject to these Terms, applicable law, third-party provider terms, and the rights of others. AI outputs may be inaccurate, incomplete, misleading, duplicative, or unsuitable for your intended use. You should review outputs before publishing, sending, relying on, or acting on them.

FounderHQ does not guarantee the accuracy, originality, non-infringement, ranking performance, deliverability, revenue impact, virality, ad performance, or business results of AI outputs or recommendations.

7. Integrations, Extension, and Companion

The Service may connect to AI providers, social platforms, content management systems, email providers, SMS or messaging providers, payment processors, analytics services, ad platforms, automation tools, and other third-party services. It may also include browser extension or companion app features that help collect, import, analyze, draft, publish, send, or automate supported workflows at your direction.

  • You are responsible for complying with third-party terms, platform rules, API policies, rate limits, permissions, approvals, and account requirements.
  • Third-party services may change, suspend, limit, revoke, or reject access or activity outside FounderHQ's control.
  • We may store and use credentials, API keys, OAuth tokens, account identifiers, scopes, and integration metadata to operate the integrations you enable.
  • We use protective measures for credentials and secrets, but you are responsible for managing provider accounts, permissions, billing, usage, and revocation.

8. Publishing, Messaging, and Audience Data

FounderHQ may help you draft, schedule, publish, send, import, analyze, or optimize content and messages through connected services and user-configured providers. This may include social content, websites, journeys, emails, SMS, WhatsApp, push, webhooks, and similar channels.

You are responsible for consent, lawful basis, opt-outs, unsubscribe handling, anti-spam compliance, sender identity, message content, quiet hours, template approvals, customer instructions, and all laws that apply to your audience and messaging activity.

9. Billing, Plans, Credits, and Managed Services

FounderHQ may offer free, trial, fixed-price subscription, usage-based, credit-based, managed-spend, margin-based, or other paid plans and product modules. Current subscriptions may be fixed-price. Future or optional modules may use credits, metered usage, managed budgets, spend-based pricing, service margins, or other pricing models.

Prices, included usage, billing intervals, renewal terms, taxes, credits, credit expiry, overages, managed-service fees, margins, cancellation terms, and refund rules will be shown at checkout, in product terms, order forms, or other purchase flows where applicable. Fees and refunds are governed by those terms and applicable law.

You are responsible for taxes, provider charges, ad spend, communication provider fees, AI provider fees, third-party platform fees, and other external costs unless a purchase flow expressly says they are included.

10. No Professional Advice

FounderHQ may help with business, marketing, legal, market, pricing, growth, content, messaging, and operational workflows, but the Service does not provide legal, financial, tax, investment, medical, employment, compliance, or other regulated professional advice. You are responsible for obtaining professional advice where appropriate.

11. Acceptable Use

You must not use the Service to:

  • Violate laws, regulations, sanctions, export controls, or rights of others.
  • Send spam, unlawful messages, deceptive communications, or messages without required consent or opt-out mechanisms.
  • Upload, generate, publish, or send illegal, infringing, harmful, abusive, hateful, exploitative, deceptive, or malicious content.
  • Impersonate others, misrepresent affiliation, manipulate engagement, or deceive recipients, platforms, or users.
  • Interfere with the Service, bypass limits, probe or attack systems, introduce malware, or compromise security.
  • Scrape, copy, benchmark, reverse engineer, or use non-public features to build or improve a competing service, except where allowed by law.
  • Abuse third-party platforms, violate their terms, or use connected accounts in a way that may harm FounderHQ, other users, or platform relationships.

12. Fair Use and Product Limits

FounderHQ may apply fair-use limits, rate limits, technical limits, storage limits, contact limits, message limits, AI run limits, crawl limits, automation limits, extension limits, API limits, or other controls to protect the Service and other users. We may throttle, suspend, or require a plan change for excessive, abusive, unsafe, or commercially unreasonable usage.

13. Availability and Changes

We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times. Features may depend on third-party services, network conditions, provider accounts, API availability, platform approvals, and other factors outside our control.

Beta, preview, and experimental features are provided for evaluation and may change, degrade, or be removed without notice.

14. FounderHQ Intellectual Property

FounderHQ, including its software, designs, interfaces, workflows, models, templates, prompts, documentation, branding, and underlying technology, is owned by Astrophage Labs or its licensors. Except for the rights expressly granted to you, we reserve all rights in the Service.

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

15. Privacy and Security

Our Privacy Policy explains how we process information. You are responsible for your account security, organization access, provider credentials, connected accounts, and use of Customer Content.

16. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access, remove content, disable integrations, or limit features if we believe there is non-payment, abuse, security risk, legal risk, policy violation, third-party platform violation, excessive usage, or other risk to FounderHQ, users, providers, or third parties.

After termination, provisions that by their nature should survive will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and provisions related to Customer Content already published, sent, synced, or shared.

17. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, availability, and quiet enjoyment.

We do not guarantee rankings, reach, leads, revenue, conversion, deliverability, inbox placement, virality, ad performance, platform acceptance, legal compliance, customer outcomes, or business results.

18. Limitation of Liability

To the fullest extent permitted by law, Astrophage Labs and its affiliates, officers, employees, contractors, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or third-party platform actions.

To the fullest extent permitted by law, our total liability for any claim related to the Service will be limited to the amount you paid to FounderHQ for the Service giving rise to the claim during the three months before the event giving rise to liability, or INR 10,000 if you did not pay for the Service during that period.

19. Indemnity

You will defend, indemnify, and hold harmless Astrophage Labs and its affiliates, officers, employees, contractors, agents, suppliers, and licensors from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from your Customer Content, your use of the Service, your connected services, your audience or messaging activity, your violation of these Terms, your violation of law, or your violation of third-party rights or platform terms.

20. Governing Law and Disputes

Governing law

These Terms are governed by the laws of India, without regard to conflict of law principles.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration will be Uttarakhand, India. The proceedings will be conducted in English by a single arbitrator. The arbitrator's decision will be final and binding.

Individual claims

To the fullest extent permitted by law, claims must be brought only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, or representative proceeding.

Injunctive relief

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction for misuse of intellectual property, unauthorized access, security incidents, or confidentiality breaches.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify users, such as updating the date above, posting a notice, or sending a communication through the Service. Continued use of the Service after changes become effective means you accept the updated Terms.

22. Miscellaneous

These Terms, together with any applicable product, checkout, order, or supplemental terms, are the entire agreement between you and Astrophage Labs regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, reorganization, financing, or sale of assets. Our failure to enforce a provision is not a waiver.
